Please be informed that in accordance with the provisions of the Law on Cross-Border Mergers of Limited Liability Companies of the Republic of Lithuania, the terms of merger of akciju sabiedriba Citadele banka and Citadele bankas AB have been drawn up.
1. The main information about the company, which will continue operations after the merger:
- name – akciju sabiedriba Citadele banka (hereinafter – “Citadele LV”);
- legal form – limited liability company;
- seat – Republikas laukums 2A, LV-1010 Riga, Republic of Latvia;
- legal entity number – 40103303559;
- register collecting and storing data of the company – Register of Legal Entities of the Republic of Latvia.
2. The main information about the company, which will terminate after the merger:
- name – Citadele bankas AB (hereinafter – “Citadele LT”);
- legal form – public limited company;
- seat – K.Kalinausko 13, LT-03107 Vilnius, Republic of Lithuania;
- legal entity number – 112021619;
- register collecting and storing data of the company – Register of Legal Entities of the Republic of Lithuania.
From the moment the entries of completion of the merger are registered with the Register of Legal Entities of the Republic of Latvia, all assets, rights and obligations of Citadele LT shall be transferred to Citadele LV, which will continue operations in Lithuania through its branch established in Lithuania.
For the purposes of accounting, from 1 January 2019, all transactions and operations of Citadele LT shall be considered to be the transactions and operations of Citadele LV (after the merger is completed).
